1. ACCEPTANCE OF TERMS

These Terms of Use (“Terms”) govern your access to and use of the services provided by Expert Scale, Inc. (“Company,” “we,” “us,” or “our”), a Nevada corporation. By accessing or using our services, you agree to be bound by these Terms and our Privacy Policy.

If you do not agree to these Terms, you must not access or use our services.

1.1 Changes to Terms

We may modify these Terms at any time. We will provide notice of any material changes via email or prominent notice on our platform. Your continued use of the services after such changes will constitute your acceptance of the new Terms.

1.2 Eligibility

You must be at least 18 years old and capable of forming a legally binding contract to use our services. By using the services, you represent and warrant that you meet these requirements.

2. SCOPE OF WORK & SERVICES

Expert Scale, Inc. provides a platform for professionals (“Experts”) to create AI-powered digital representations of themselves (“Digital Protégés”). Our services include:

2.1 Core Services

AI-Guided Interviews: A structured interview process to capture an Expert’s unique methodologies, knowledge, and voice characteristics
Digital Protégé Creation: Development of a voice-enabled AI based on the Expert’s provided data and knowledge
Platform Access: A dashboard for Experts to manage their Digital Protégé, view analytics, and control their data
White-Glove Onboarding: Personalized training and integration support to ensure the Digital Protégé is successfully implemented

2.2 Beta Program

The services are currently provided under a beta program for Early Adopters, which may include features not available to the general market. Beta services are provided “as is” and may contain bugs, errors, or performance issues.

2.3 Service Availability

We strive to maintain service availability but do not guarantee uninterrupted access. We may suspend services for maintenance, updates, or force majeure events without liability.

3. EXPERT ENROLLMENT AND ONBOARDING PROCESS

To create your Digital Protégé, you must complete our four-step onboarding process:

Step 1: Application

Submit your application to secure your spot as an Early Adopter with exclusive premium benefits.

Step 2: Introduction Call

Have a brief, 10-minute call with our AI assistant to verify your identity, receive a platform overview, and confirm your in-depth interview details.

Step 3: In-Depth Interview

Participate in a comprehensive, 45-60 minute AI-guided interview. This crucial step captures your authentic voice and strategic expertise, forming the foundation of your Digital Protégé.

Step 4: Protégé Integration & White-Glove Onboarding

Attend a personalized 1:1 session with our product team for complete platform training, integration of your existing content, and final implementation steps.

4. INTELLECTUAL PROPERTY RIGHTS

4.1 Expert Intellectual Property Ownership

You retain exclusive intellectual property ownership of all methodologies, knowledge, voice characteristics, and training materials you provide to Expert Scale. We claim no ownership over your data.

4.2 Limited License to Company

You grant Expert Scale a limited, non-exclusive, royalty-free license to use your contributed content solely for the purpose of creating and operating your specific Digital Protégé.

Your data will NOT be used to:

Train other experts’ AI models without your explicit consent
Create derivative works unrelated to your Digital Protégé
Sell or license to third parties

4.3 Company Intellectual Property

The Expert Scale platform, software, algorithms, user interface, and underlying technology (excluding your contributed content) are owned by Expert Scale, Inc. and protected by intellectual property laws.

4.4 User-Generated Content

Any content you submit beyond the onboarding process (feedback, suggestions, ideas) may be used by Company without compensation or attribution.

5. PROHIBITED CONDUCT

You agree NOT to:

5.1 Unlawful Activity

Use the services for any illegal purpose or in violation of any applicable law
Violate intellectual property, privacy, or other rights of third parties

5.2 Misrepresentation & Deception

Misrepresent your identity, credentials, or expertise during onboarding
Create a Digital Protégé that falsely claims credentials you do not possess
Impersonate another person or entity

5.3 Harmful Content

Upload content that is defamatory, obscene, harassing, discriminatory, or threatening
Contribute content that promotes violence, illegal activity, or harm to others
Include malware, viruses, or other malicious code

5.4 Unauthorized Commercial Use

Resell or commercially exploit the services without Company permission
Use the services in a manner that competes with Expert Scale
Sublicense your Digital Protégé without authorization

5.5 Technical Interference

Attempt to reverse engineer, hack, or disrupt the services
Circumvent security measures or access restrictions
Use automated scripts or bots to access the services
Overload or interfere with platform infrastructure

5.6 Professional Misconduct

Provide advice outside your area of expertise
Use your Digital Protégé to practice a profession for which you are not licensed
Violate professional ethics rules applicable to your field

5.7 Consequences of Violations

We reserve the right to suspend or terminate your access for violations of these prohibited conduct rules, with or without notice, and with or without refund.

6. VOICE DATA & BIOMETRIC INFORMATION

6.1 Voice Characteristics as Biometric Data

Your voice recordings and voice characteristics may constitute biometric identifiers under certain state laws, including:

Illinois Biometric Information Privacy Act (BIPA)
Texas Capture or Use of Biometric Identifier Act
Washington State biometric privacy law

By using our services and participating in voice recordings, you provide informed, written consent to our collection, use, and storage of your voice data and biometric identifiers for the purpose of creating and operating your Digital Protégé.

6.3 Voice Data Protection

We implement security measures to protect your voice data, including:

Encryption of voice recordings in transit and at rest
Access controls limiting voice data access to authorized personnel
Secure deletion protocols upon account termination

6.4 Retention and Deletion

Voice data is retained while your account is active and for 30 days after termination
You may request deletion of your voice data at any time by contacting info@expertscale.ai
Upon deletion request, voice data will be permanently destroyed within 30 days

6.5 No Sale of Voice Data

We will never sell, lease, or trade your voice data or biometric identifiers.

7. CONFIDENTIALITY

The protection of proprietary information is paramount.

7.1 Mutual Confidentiality

Both parties agree to protect confidential information shared during the provision of services.

7.2 Non-Disclosure Agreement

A separate, mutually executed Non-Disclosure Agreement (NDA) will govern the specific terms of confidentiality between you and Expert Scale, Inc.

7.3 Expert Data Isolation

Your expert data, methodologies, and knowledge are kept isolated and confidential. They will not be shared with other users or used for purposes beyond your specific Digital Protégé without your explicit consent.

8. INDEMNIFICATION AND LIMITATION OF LIABILITY

8.1 Indemnification

You agree to indemnify and hold harmless Expert Scale, Inc., its officers, directors, employees, and agents from any claims, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising from:

Your use of the services
Your violation of these Terms
Your violation of any third-party rights
Content you provide to the platform
Actions or advice provided by your Digital Protégé

8.2 Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL EXPERT SCALE, INC. BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

(A) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICES;

(B) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICES;

(C) CONTENT YOU PROVIDE TO THE PLATFORM;

(D) ANY RELIANCE ON INFORMATION PROVIDED BY A DIGITAL PROTÉGÉ.

OUR AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID US, IF ANY, IN THE LAST 12 MONTHS FOR THE SERVICES.

8.3 Disclaimer of Warranties

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

We do not warrant that:

The services will be uninterrupted, timely, secure, or error-free
Digital Protégés will be accurate or reliable
Any defects will be corrected
The platform is free of viruses or harmful components

9. DISPUTE RESOLUTION

9.1 Informal Resolution

Any dispute arising out of or relating to these Terms or the services shall first be resolved through good-faith negotiation between the parties for thirty (30) days.

9.2 Mediation

If the dispute cannot be resolved through negotiation, it shall be submitted to non-binding mediation administered by a mutually agreed mediator in Clark County, Nevada.

9.3 Binding Arbitration

If mediation fails, the dispute shall be resolved by binding arbitration in accordance with the Commercial Arbitration Rules of the American Arbitration Association.

Arbitration Terms:

The arbitration shall take place in Clark County, Nevada
The arbitration shall be conducted by a single arbitrator
The judgment on the award rendered by the arbitrator may be entered in any court having jurisdiction thereof
Each party shall bear its own costs and attorneys’ fees unless the arbitrator awards them to the prevailing party

9.4 Class Action Waiver

YOU AND EXPERT SCALE AGREE THAT ANY ARBITRATION OR PROCEEDING SHALL BE LIMITED TO THE DISPUTE BETWEEN US AND YOU INDIVIDUALLY.

TO THE FULL EXTENT PERMITTED BY LAW:

(i) NO ARBITRATION OR PROCEEDING SHALL BE JOINED WITH ANY OTHER;
(ii) THERE IS NO RIGHT OR AUTHORITY FOR ANY DISPUTE TO BE ARBITRATED OR RESOLVED ON A CLASS ACTION BASIS OR TO UTILIZE CLASS ACTION PROCEDURES;
(iii) THERE IS NO RIGHT OR AUTHORITY FOR ANY DISPUTE TO BE BROUGHT IN A PURPORTED REPRESENTATIVE CAPACITY ON BEHALF OF THE GENERAL PUBLIC OR ANY OTHER PERSONS.

9.5 Exceptions

Either party may bring an action in court for:

Injunctive or equitable relief related to intellectual property infringement
Small claims court actions within jurisdictional limits

9.6 30-Day Opt-Out Right

You have the right to opt out of this arbitration agreement by sending written notice of your decision to opt out to info@expertscale.ai within 30 days of first accepting these Terms. If you opt out, the arbitration provisions will not apply to you, and disputes will be resolved in the courts of Clark County, Nevada.

10. TERM AND TERMINATION

10.1 Term

These Terms will remain in full force and effect while you use the services.

10.2 Termination by You

You may terminate your account at any time by contacting us at info@expertscale.ai. Upon termination, you will lose access to your Digital Protégé and associated data.

10.3 Termination by Company

We reserve the right to suspend or terminate your access to the services:

Termination for Cause (Immediate):

Material breach of these Terms
Violation of prohibited conduct
Illegal activity
Fraud or misrepresentation
Failure to pay fees owed

Termination Without Cause (30 Days’ Notice):

We may terminate your access with 30 days’ written notice for any reason or no reason

10.4 Effect of Termination

Upon termination, your right to use the services will immediately cease. We will handle the deletion of your data as described in the “Data Retention and Deletion” section of our Privacy Policy.

Data Retention:

Voice data: Deleted within 30 days or upon request
Account data: Retained for 90 days then permanently deleted
Transactional data: Retained for legal/tax compliance as required by law

11. PAYMENT TERMS

11.1 Fees

Certain services may require payment. Current pricing is available on our website or through your account.

11.2 Payment Processing

Payments are processed through secure third-party payment processors. We do not store your complete credit card information.

11.3 Billing

Fees are billed in advance on a recurring basis (monthly or annually as selected)
You authorize us to charge your payment method for all fees incurred
All fees are in U.S. dollars

11.4 Automatic Renewal

Subscriptions automatically renew at the end of each billing period unless you cancel before the renewal date.

11.5 Cancellation

You may cancel your subscription at any time through your account settings or by contacting info@expertscale.ai.

11.6 Refunds

All fees are non-refundable except:

As required by applicable law
If we terminate your account without cause (pro-rated refund)
As explicitly stated in a written agreement

11.7 Fee Changes

We may change our fees at any time. We will provide at least 30 days’ notice of fee increases. Your continued use after the fee change takes effect constitutes acceptance.

11.8 Taxes

You are responsible for all applicable taxes except those based on our net income.

12. PRIVACY & DATA PROTECTION

Your privacy is important to us. Our collection, use, and protection of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

13. GENERAL PROVISIONS

13.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Nevada, without regard to its conflict of law principles.

13.2 Venue

Except for disputes subject to arbitration, any legal action relating to these Terms must be brought in the state or federal courts located in Clark County, Nevada. You consent to personal jurisdiction in Nevada.

13.3 Entire Agreement

These Terms, along with the Privacy Policy and any applicable NDA, constitute the entire agreement between you and Expert Scale, Inc. regarding the use of the services.

13.4 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remainder shall remain in full force and effect.

13.5 Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

13.6 Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.

13.7 Force Majeure

We shall not be liable for any failure or delay in performance due to causes beyond our reasonable control.

13.8 Notices

13.9 Independent Contractor

No agency, partnership, joint venture, or employment relationship is created by these Terms.

13.10 Survival

Provisions that by their nature should survive termination will survive, including: intellectual property rights, indemnification, limitation of liability, dispute resolution, and general provisions.

13.11 U.S. Export Controls

You may not use our services if you are located in a country subject to U.S. embargo or if you are on a U.S. government prohibited parties list.

13.12 Counterparts and Electronic Signatures

These Terms may be executed in counterparts and electronic signatures are valid.
